Second Step – by you
Please pay the budget amount in our S/B A/C No. 025001009601 of RS SAHOTA HUF, IFSC Code: ICIC0000250 in ICICI Bank, Dwarka Sector-5, New Delhi-110075 OR Paytm 9810065447. You also need to provide Stamp Paper and Rubber Stamp. OR pay additional Rs.600/- (i.e. Rs.300/- for Stamp Paper & Rs.300/- for Rubber Stamp). Send the proof of payment at email.
Clarification on legal position of Stamp Paper
Note-1. As per Section 29 (a)No.62(c)(c) of the Indian Stamp Act, 1899 “in the absence of an agreement to the contrary, the expenses of providing proper stamp shall be borne – in the case of a lease or agreement to lease- by the lessee or intended lessee.”
Note-2. As per Article 35(a)(i) of Stamp Duty in Delhi read with Article 15, the Stock Holding Corporation of India gives the Stamp Paper for compulsorily registrable documents – NCT of Delhi under its Article 35(i) Lease-Rent deed up to 1 year is to be 2% of the whole amount payable and under its Article 35(ii) Lease- up to 5 years is to be 2% of the Average Annual Rent Received/Payable.
Clarification on legal position of Rubber Stamp
As per various commercial laws of India, the mail and notices addressed to company or firm can be delivered to the company against rubber stamp of the company and signature of authorized representative of the company only. So, you need to hand over the rubber stamp. Virtual Office representative is authorized by you in your Application Form to receive your mail and notices. Rubber Stamp should be as follows:

(1) Issue of documents
The owner of the premises / CEO will instantly send scanned copy of the following documents to you.
(i) Rent Agreement with your Firm / Company name on the Stamp Paper.
(ii) No Objection Certificate (NOC) from legal owner of premises to the Firm / Company.
(iii) Latest Electricity Bill – Signed of the premises as a proof of ownership of the premises indicating you as tenant.
(2) Signage of your Registered Office
The “Virtual Office in India” will place your company signage by including your company particulars in the list of all the Registered Offices placed on the entrance door of the shop. The signage includes Suite Number, the Name of the Company, the Email address, the Name of Signatory with Mobile number, the date of start of the Rent Agreement and date on which the agreements will expire. (3) Mail receiving and forwarding
The “Virtual Office in India” will start receiving courier/speed post and notices on behalf of your Company by affixing your stamp and signature of our official as your “Authorized Representative”. We will mark Suite No. and date of receipt on your letter and send its image to you. (i) You may collect your mail from Virtual Office during office hours. OR (ii) The Virtual Office will re-post your mail to your address. OR (iii) The Virtual Office will open your mail and send the scanned copy to you. The service charges are Rs.200/- per letter.
(4) Give monthly or hourly sitting space
The “Virtual Office in India” will start giving you desk space or full cabin. We provide you one Table, one Chair, broad band internet connection, charging points for your laptop and also for your mobile. You will be able to comfortably work on your files and on your laptop. The standard rate per 1 table space is Rs.100/- p.h. OR Rs.2,000/- p.m. during working hours. Company may conduct a meeting/Conference for an hour or full day. The charges will be Rs.600/- p.h. (7) On expiry of present rent agreement
Before the expiry of your present rent agreement, we will send you a Invoice to take Virtual Office on rent along with our registered office services for the next period chosen by you as First Step. The rent agreement may be without stamp paper. You may make the payment as per Second Step. You are to send copies of any other registration made with any department of any Govt as Third Step. On receipt of these we will send you scanned copy of Rent Agreement. We shall incessantly perform the Fourth Step.
(8) What if agreement is extended or renewed
As per law Rent Agreement for less than 1 year need not be registered. We therefore give you Rent Agreement for 364 days. We would like to give your clarification of the legal facts. As per Section 17(1)(d) of the Registration Act, 1908 “lease of immovable property from year to year or for any term exceeding one year or reserving a yearly rent” are required to be registered. If you still want to register, we will give SPOA.
(9) What will happen on expiry of present rent agreement
On expiry of present rent agreement the virtual office in Delhi will remind you by Email, WhatsApp and SMS and in case of no response (i) We will remove your Signage from the front door of the Office. (ii) We will stop receiving your mail and notices. (iii) We will stop providing you Table space. (iv) Your material lying with us shall be destroyed. (v) You shall be transferred to the list of past clients.
(10) Legal position on Registered Office of a Company
All companies have to maintain their registered office in commercial premises till their company is dissolved. As per Section 7(4) of the Companies Act, 2013 “The company shall maintain and preserve at its registered office, copies of all documents and information as originally filed under sub-section (1) till its dissolution under this Act. In addition to it as per Section 12(1) of the Companies Act, 2013 “A company shall (within 30 days of its incorporation) and all times thereafter, have a registered office capable of receiving & acknowledging all communications and notices as may be addressed to it.”
(11) Actions being taken by ROC as per law
If the company is caught for not maintaining registered office, the Registrar of Companies takes action on the Company and also on all the Directors. As per the following: –
(i) Section 12(9) – Fine of Rs.1,000/- per day (Max. One Lakh) on Company as well as on all Directors.
(ii) Section 447– punishment for fraud.
(iii) Section 448– punishment for false statement
